End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "You") and NightCat Studios MB ("NightCat Studios", "Company", "We", "Us" or "Our"), governing your use of any video game developed, published, or distributed by NightCat Studios (collectively, the "Game(s)").

By downloading, installing, accessing, or using any Game, you agree to be bound by this Agreement. If you do not agree, do not install or use the Game.

1. Grant of License

1.1 Subject to this Agreement, NightCat Studios grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Game solely for your personal, non-commercial entertainment.

1.2 The Game is licensed, not sold. All rights not expressly granted remain with NightCat Studios.

2. Ownership & Intellectual Property

2.1 All rights, title, and interest in and to the Game, including but not limited to software, artwork, characters, music, storylines, and trademarks, are owned by NightCat Studios or its licensors.

2.2 You acknowledge that you do not acquire any ownership rights by installing or using the Game.

3. Restrictions

You agree not to, and not to permit others to:

• Copy, distribute, or sublicense the Game except as expressly allowed.
• Reverse engineer, decompile, disassemble the Game.
• Circumvent security measures, DRM, or anti-cheat systems.
• Use the Game for commercial purposes without written consent.
• Create, distribute, or use cheats, hacks, bots, or exploits.

4. Online Features & Accounts

4.1 If the Game includes online features, you must comply with community guidelines and may not engage in harassment, cheating, or other disruptive behavior.

4.2 NightCat Studios reserves the right to suspend or terminate online access for violations.

5. User-Generated Content (UGC)

5.1 If the Game allows the creation of UGC (such as mods, levels, or artwork):

• You retain ownership of your UGC but grant NightCat Studios a worldwide, royalty-free, sublicensable license to use, display, modify, and distribute it
• You may not create UGC that is illegal, offensive, or infringes third-party rights.

5.2 Some platforms (e.g., consoles, mobile) may prohibit UGC; in those cases, this Section does not apply.

6. Updates & Patches

6.1 NightCat Studios may provide updates, patches, or modifications to improve or change the Game.

6.2 Such updates may be mandatory for continued use.

7. Purchases & Refunds

7.1 Purchases of the Game, virtual currency, or in-game items are final and non-refundable, except as required by applicable law or by the platform’s policies.

7.2 Refunds, chargebacks, and billing issues are handled through the platform where the Game was obtained (e.g., Steam, PlayStation Store, Xbox Store, Nintendo eShop, App Store, Google Play).

8. Termination

8.1 This Agreement is effective until terminated.

8.2 Your rights under this Agreement terminate automatically if you fail to comply with its terms.

8.3 Upon termination, you must uninstall and cease all use of the Game.

9. Disclaimers & Limitation of Liability

9.1 The Game is provided “AS IS” without warranties of any kind. NightCat Studios disclaims all warranties, express or implied, including but not limited to fitness for a particular purpose, merchantability, and non-infringement.

9.2 To the maximum extent permitted by law, NightCat Studios shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Game.

10. Governing Law & Dispute Resolution

10.1 This Agreement is governed by the laws of Republic of Lithuania, without regard to conflict of law principles.

10.2 Any disputes shall be resolved in the courts of Vilnius, Respublic of Lithuania, unless otherwise required by applicable law.

11. Privacy

11.1 Your use of the Game may involve the collection and processing of personal data.

11.2 Please refer to the NightCat Studios Privacy Policy for details.

12. Age Restrictions

You must meet the minimum age required by law and platform policies to use the Game (e.g., 13 years old, or as required by your region).

13. Third-Party Services & Platforms

13.1 If the Game is accessed via a third-party platform (e.g., Steam, Sony PlayStation, Microsoft Xbox, Nintendo Switch, Apple App Store, Google Play), your use is also governed by that platform’s terms of service.

13.2 In the event of conflict, the platform’s terms shall prevail.

14. Changes to this Agreement

NightCat Studios reserves the right to modify this Agreement at any time. Updates will be posted at: https://nightcatstudios.com/games-eula. Continued use of the Game after changes constitutes acceptance.
